CONFIDENTIALITY AGREEMENT: By accessing the HighRoad Development investor portal, you acknowledge and agree that:

1. Confidential Information: All documents, financial data, business plans, investment strategies, property information, and any other materials accessed through this portal are strictly confidential and proprietary to HighRoad Development and its affiliates.
2. Non-Disclosure Obligation: You agree to maintain complete confidentiality of all information and will not disclose, distribute, or share any information with third parties without prior written consent from HighRoad Development.
3. Limited Use: Information accessed is solely for your evaluation as a potential investor and may not be used for any other purpose.
4. Return of Materials: Upon request, you agree to return or destroy all materials and information received.
5. Legal Remedies: You acknowledge that any violation of this agreement may cause irreparable harm, and HighRoad Development may seek legal remedies including injunctive relief and damages to the fullest extent permitted by law.

Duration: This agreement remains in effect indefinitely unless terminated in writing by HighRoad Development.

SEC Definition (Rule 501 of Regulation D)

An "Accredited Investor" includes any person who:

Individual Qualifications:

• Income Test: Has individual income exceeding $200,000 in each of the two most recent years (or $300,000 jointly with spouse) with reasonable expectation of the same income level in the current year.
• Net Worth Test: Has individual or joint net worth with spouse exceeding $1,000,000 (excluding the value of primary residence).

Entity Qualifications:

• Trusts with assets exceeding $5,000,000, not formed specifically to acquire securities
• Entities owned entirely by accredited investors
